Polarimetric Workstation End-Use Software Licence

End-User" and HER MAJESTY THE QUEEN IN RIGHT OF CANADA, represented by the Minister of Natural Resources Canada ("NRCan").

Terms and Conditions for use of Polarimetric Workstation Software

Subject to the terms and conditions of this Agreement, NRCan hereby grants to the End-user a non-exclusive Licence to use the Polarimetric Workstation Software (“Software”) for your use only and excluding its use for commercial purposes or on behalf of others.

The End-User acknowledges that the Software, which is prepared or published by NRCan, is protected under the Copyright Act of Canada and belongs to NRCan.

The End-User shall not sell, loan or transfer the Software or otherwise assign any rights under this Agreement to any third party without prior permission of NRCan. The End-User shall not decompile, disassemble, reverse engineer or derive any source code from the Software or create a derivative work, except with the prior written consent of NRCan.

Any publications or publicity by the End-User referring to the Polarimetric Workstation Software shall duly acknowledge NRCan’s ownership of the Software.

The Software is provided on an "as is" basis and NRCan makes no guarantees, representations, or warranties respecting the Software, either expressed or implied, arising by law or otherwise, including but not limited to, effectiveness, completeness, accuracy, or fitness for a particular purpose.

NRCan shall not be liable in respect of any claim, demand, or action, irrespective of the nature of the cause of the claim, demand, or action alleging any loss, injury or damages, direct or indirect, which may result from the End-User's use of the Software, or in any way relating to this Agreement. NRCan shall not be liable in any way for loss of revenue or contracts, or any other consequential loss of any kind resulting from any defect in the Software.

The End-User shall indemnify and save harmless NRCan and its ministers, officers, employees and agents, from and against any claim, demand, or action, irrespective of the nature of the cause of the claim, demand, or action, alleging loss, costs, expenses, damages, or injuries (including injuries resulting in death) arising out of the End-User's use of the Software, or in any way relating to this Agreement.

NRCan may terminate this Agreement at any time upon 30 days written notice to the End-User. This Agreement shall terminate automatically and without notice if the End-User commits or permits a breach of any of its covenants or obligations under this Agreement.

NRCan will not provide support for installation, conversion, training, upgrade or maintenance of the Software.

This Agreement shall be interpreted in accordance with the laws in force in the Province of Ontario, Canada.

The End-User has read and understands the above noted terms and conditions and hereby agrees to adhere to these terms and conditions.
